UPSKILLING LEARNING MANAGEMENT SYSTEM USER AGREEMENTVersion date: 11 August 2026 1. Parties, account identification, and effective date1.1 PartiesThis Learning Management System User Agreement, Acceptable Use Policy, Intellectual Property Agreement, and Academic Integrity Policy—the “Agreement”—is entered into between: UPSKILLING, being the legal entity identified in the Legal Notice for the individual identified by the account through which this Agreement is accepted, referred to as the “User” or “Learner.” 1.2 Identification without form fieldsThe User’s name, email address, account identifier, enrolled course, and, where applicable, parent or guardian status are determined from the authenticated account and UPSKILLING’s registration records. No handwritten information or electronic signature field is required. 1.3 Acceptance dateThis Agreement becomes effective on the date and at the time when the User, or the User’s parent or legal guardian where required, selects “I AGREE AND CONTINUE.” UPSKILLING may retain evidence of acceptance, including:

DefinitionsFor this Agreement: 2.1 “Account”Means the personal LMS account created for the User. 2.2 “Course Materials”Means all materials made available through the Services, including:
2.3 “Services”Means the LMS, courses, learning resources, communication tools, assessments, certificates, support services, online events, and related services made available by UPSKILLING. 2.4 “User Content”Means assignments, answers, messages, recordings, documents, projects, comments, photographs, or other content submitted by the User. 2.5 “Course-Specific Terms”Means the course title, fees, payment schedule, access period, timetable, assessment rules, entry requirements, award conditions, refund terms, and other information supplied during registration or enrolment. 3. Acceptance and incorporated documents3.1 Agreement to be boundBy selecting “I AGREE AND CONTINUE,” the User confirms that they:

Access licence4.1 Limited personal accessSubject to payment and compliance with this Agreement, UPSKILLING grants the User a limited, personal, revocable, non-exclusive, non-transferable right to access the Services for the User’s own educational purposes during the applicable access period. 4.2 No transfer of ownershipAccess to Course Materials does not transfer ownership of the Course Materials or any intellectual-property rights to the User. 4.3 One account per UserEach Account is for one identified User only. An Account may not be sold, transferred, loaned, shared, or made available to another person. 4.4 Access durationThe access period is the period stated in the Course-Specific Terms, enrolment confirmation, invoice, or User dashboard. UPSKILLING may extend an access period at its discretion but is not required to do so. 4.5 Technical requirementsThe User is responsible for maintaining:
UPSKILLING is not responsible for access difficulties caused by the User’s equipment, connectivity, browser settings, blocked pop-ups, unsupported software, or local network restrictions. 5. Account security and accurate information5.1 Accurate registration informationThe User must provide information that is accurate, complete, current, and not misleading. 5.2 Changes to informationThe User must promptly update changes to their:

7.5 Assessment securityAssessment questions, model answers, examination content, tutor keys, marking guidance, and restricted assessment resources are confidential and must not be copied, disclosed, discussed publicly, or supplied to another candidate. 7.6 Accessibility exceptionNothing in this section prevents the lawful use of authorised assistive technology required for accessibility. A User requiring an adjustment should contact UPSKILLING so that an appropriate and secure format can be provided. 7.7 ConsequencesA breach of this section may result in:
UPSKILLING will not impose an unspecified contractual “fine.” Any financial recovery will be based on the applicable contract, demonstrated loss, agreed charges, or remedies permitted by law. 8. Intellectual-property rights8.1 OwnershipThe Services and Course Materials are owned by or licensed to UPSKILLING and may be protected by copyright, trademark, database, design, confidential-information, trade-secret, and other intellectual-property rights. 8.2 No implied licenceNo right is granted except the limited access licence stated in Section 4. 8.3 TrademarksThe User must not use UPSKILLING’s or an awarding body’s name, logo, trademark, domain, certificate design, or other brand element without written permission. 8.4 Copyright noticesThe User must not remove, obscure, alter, or crop any copyright, attribution, ownership, source, or rights notice. 8.5 Reporting infringementsA person who believes content infringes their rights may contact UPSKILLING at: The notice should identify the work, the allegedly infringing material, the basis of the claim, and reliable contact information. 9. Academic integrity and assessment conduct9.1 Original workThe User must submit their own work and comply with all assessment instructions. 9.2 Prohibited assessment conductThe User must not:

The User will be informed of the allegation and given a reasonable opportunity to respond, subject to the rules of the awarding body or assessment organisation. 10. User Content10.1 User responsibilityThe User remains responsible for User Content and confirms that:
10.2 Limited licence to UPSKILLINGThe User grants UPSKILLING a non-exclusive, worldwide, royalty-free licence to host, copy, process, display, transmit, back up, and otherwise use User Content only as reasonably necessary to:
10.3 No public or promotional use without permissionUPSKILLING will not publicly publish the User’s identifiable assignment, photograph, testimonial, or recording for advertising or promotional purposes without separate permission, unless publication is required by law or clearly forms part of a separately agreed activity. 10.4 Anonymised informationUPSKILLING may use appropriately anonymised or aggregated information for:

Fees, payment, cancellation, and refunds12.1 Applicable feesThe applicable course fee, currency, taxes, payment schedule, and access period are those shown in the Course-Specific Terms, enrolment page, order confirmation, or invoice. 12.2 Payment responsibilityThe User or paying party must pay all charges by the stated due dates. 12.3 Non-paymentWhere payment is overdue, UPSKILLING may:

Nothing in this Agreement removes a right that cannot legally be excluded. 12.5 ChargebacksBefore initiating a payment chargeback, the paying party should contact UPSKILLING and provide a reasonable opportunity to investigate. This does not remove any mandatory right to challenge an unauthorised or incorrect payment. 13. Certificates, qualifications, and external recognition13.1 Certificate eligibilityA certificate will be issued only where the User:
13.2 Certificate formatCertificates may be digital, physical, or issued through a third-party awarding organisation. Where a certificate-download function is expressly enabled, downloading that certificate is permitted and does not breach Section 7. 13.3 Correct nameThe certificate name will normally be taken from the verified Account or registration record. The User must check the spelling before certificate production. UPSKILLING may charge a reasonable replacement or correction fee where an error resulted from inaccurate information supplied by the User, subject to applicable policy and law. 13.4 No guarantee of external acceptanceUnless expressly stated in writing by the relevant receiving organisation, UPSKILLING does not guarantee:
The User is responsible for obtaining written confirmation from the relevant university, employer, ministry, regulator, or professional body. 13.5 Awarding-body authorityWhere a qualification or assessment is controlled by an external awarding body, final registration, moderation, assessment, certification, sanction, or appeal decisions may be made under that body’s rules. 14. Service operation and availability14.1 Reasonable effortsUPSKILLING will use reasonable efforts to maintain the Services but does not guarantee uninterrupted, error-free, or continuously available access. 14.2 Maintenance and interruptionAccess may be interrupted due to:

UPSKILLING is not responsible for third-party availability, content, security, or privacy practices, except to the extent required by law. 15. Liability17.1 Mandatory rights preservedNothing in this Agreement excludes or limits liability that cannot lawfully be excluded or limited. 17.2 Excluded categoriesTo the maximum extent permitted by law, UPSKILLING is not liable for indirect, incidental, special, or consequential loss, including loss of:
unless such exclusion is prohibited by law. 17.3 Liability capTo the maximum extent permitted by law, UPSKILLING’s total contractual liability arising from the relevant course will not exceed the amount actually paid to UPSKILLING for that course during the twelve months preceding the event giving rise to the claim. This limitation does not apply where liability cannot lawfully be limited, including liability arising from fraud, deliberate misconduct, or another non-excludable basis. 17.4 User equipment and connectivityUPSKILLING is not liable for loss caused solely by:
17.5 No guarantee of personal outcomeEducational participation does not guarantee a particular examination result, qualification, admission, job, promotion, business outcome, or professional status. 18. IndemnificationTo the extent permitted by law, the User agrees to compensate UPSKILLING for reasonable losses, liabilities, and third-party claims directly caused by the User’s:
This provision does not require the User to compensate UPSKILLING for loss caused by UPSKILLING’s own unlawful conduct, fraud, deliberate misconduct, or non-excludable negligence. 19. Force majeureNeither party is liable for delay or failure caused by circumstances beyond reasonable control, including:

Changes to this Agreement20.1 Non-material changesUPSKILLING may make non-material changes to improve clarity, correct errors, update contact details, or reflect operational changes. Notice may be provided through the LMS or email. 20.2 Material changesWhere a change materially affects User rights or obligations, UPSKILLING will:
20.3 No hidden retroactive changesMaterial changes will not be applied retroactively to completed transactions unless required by law or expressly agreed. 21. Governing law and disputes21.1 Governing lawThis Agreement is governed by the laws of Tunisia. 21.2 JurisdictionSubject to any mandatory consumer-protection or jurisdiction rules, disputes that cannot be resolved through the applicable complaint process will be submitted to the competent courts of Tunis, Tunisia. 21.3 Urgent protectionNothing prevents UPSKILLING from seeking urgent relief to protect:
22. General provisions22.1 Entire agreementThis Agreement and its incorporated documents constitute the agreement between the parties concerning the Services and replace prior discussions or representations on the same subject. 22.2 SeverabilityIf a provision is found invalid or unenforceable, it will be limited or removed only to the extent necessary, and the remaining provisions will continue to apply. 22.3 No waiverA failure or delay in enforcing a right does not waive that right. 22.4 AssignmentThe User may not transfer this Agreement or their Account. UPSKILLING may transfer this Agreement as part of a lawful restructuring, merger, business transfer, or transfer to an affiliated operator, provided that User rights are not materially reduced and applicable data-protection requirements are observed. 22.5 SurvivalSections concerning intellectual property, confidentiality, assessment integrity, payment, liability, dispute resolution, and records survive termination where necessary to give them effect. 22.6 Electronic copyThe current version and, where reasonably available, the version accepted by the User will remain accessible through the platform or may be requested from UPSKILLING. 23.
